Set up your intercompany close checklist in five steps

1

Set cutoff dates

Align all entities on the same transaction cutoff date and FX rate. Distribute the close calendar so every subsidiary knows its deadlines.

2

Assign owners

Assign an IC accountant for matching, entity controllers for sign-off, and a group controller to approve eliminations and the final package.

3

Match & reconcile

Run the IC balance matching report and resolve every mismatch above your materiality threshold before posting eliminations.

4

Post eliminations

Eliminate IC receivables/payables, revenue/COGS, unrealized profit, loans, and dividends. Confirm the net IC balance is zero.

5

Review & close

Check the consolidated trial balance for residual IC amounts, verify CTA impacts, prepare footnote disclosures, and archive workpapers.

How intercompany close works

An intercompany close is the process of reconciling, matching, and eliminating transactions between entities within the same corporate group before producing consolidated financial statements. The goal is to ensure no intercompany balances or transactions inflate the group's reported revenue, expenses, assets, or liabilities.

1 Establish cutoff

Set a hard cutoff date for all IC transactions. Every entity must post its IC invoices, loan accruals, and transfer pricing adjustments by this date. Align on a single FX rate source for cross-currency pairs.

2 Match & reconcile

Run a balance matching report across all entity pairs. Investigate and resolve mismatches above your materiality threshold. Common causes include timing differences, unrecorded invoices, and FX rate discrepancies.

3 Post eliminations

Eliminate IC receivables/payables, revenue/COGS, unrealized profit on inventory, loan balances, interest, and dividends. The net IC balance after eliminations should be zero for every entity pair.

4 Review & consolidate

Check the consolidated trial balance for residual IC amounts. Verify currency translation adjustments, confirm minority interest calculations, and prepare the IC disclosure schedules for financial statement footnotes.

Do this, avoid that

✓ Do this

  • ✓ Set a firm cutoff date and enforce it across all entities without exceptions
  • ✓ Use a single FX rate source so both sides of every IC transaction translate consistently
  • ✓ Run the IC matching report before posting eliminations to catch mismatches early
  • ✓ Verify that the net IC balance is zero after all elimination entries are posted
  • ✓ Document timing differences separately from true errors for audit trail clarity
  • ✓ Archive IC reconciliations and elimination workpapers for external audit readiness

✕ Avoid that

  • ✕ Allowing entities to post IC transactions after the cutoff date
  • ✕ Using different FX rates across entities for the same IC transaction
  • ✕ Posting elimination entries without first confirming both sides match
  • ✕ Ignoring small IC mismatches that accumulate into material differences over time
  • ✕ Skipping unrealized profit elimination on IC inventory still held at period end
  • ✕ Relying on email chains instead of a structured reconciliation tool for IC confirmations

Intercompany close terms, explained

Elimination Entry

A journal entry posted at the consolidated level to remove intercompany balances and transactions so they do not inflate the group's financial statements. Common eliminations cover IC receivables/payables, revenue/COGS, and unrealized profit.

Unrealized Profit

Profit recorded by one entity on goods or services sold to another entity within the same group, where the inventory has not yet been sold to an external customer. This profit must be eliminated on consolidation until the goods leave the group.

Transfer Pricing

The price at which goods, services, or intellectual property are transferred between entities within the same corporate group. Transfer prices must comply with arm's-length standards set by tax authorities in each jurisdiction.

IC Matching

The process of comparing intercompany balances reported by counterparty entities to confirm they agree. Mismatches are investigated and resolved before elimination entries are posted.

Currency Translation Adjustment

The gain or loss that arises when translating a foreign subsidiary's financial statements from its functional currency to the parent's reporting currency. CTA is recorded in other comprehensive income, not the income statement.

Minority Interest

The portion of a subsidiary's equity and net income attributable to shareholders other than the parent company. Also called non-controlling interest. It must be calculated correctly after IC eliminations are applied.

Frequently asked questions

Intercompany close is the process of reconciling and eliminating transactions between entities within the same corporate group before producing consolidated financial statements. It ensures that internal sales, loans, dividends, and other IC transactions do not inflate the group's reported financials. The process typically involves cutoff enforcement, balance matching, elimination entries, and consolidation review.
Consolidated financial statements should present the group as if it were a single economic entity. If one subsidiary sells goods to another for $1M, both entities record revenue and cost, but from a group perspective no external sale occurred. Without elimination, the group would double-count $1M of revenue and $1M of cost, misleading investors and regulators.
The most common causes are timing differences (one entity records a transaction in one period while the counterparty records it in the next), FX rate discrepancies (entities using different rates for the same transaction), unrecorded invoices (one side has booked the transaction while the other has not), and classification differences (entities mapping the same transaction to different IC accounts).
For a well-organized group, the IC close typically takes 5 to 7 business days within the broader month-end close cycle. Pre-close and cutoff take 1 to 2 days, matching and reconciliation take 2 days, eliminations take 1 day, and consolidation review takes 1 to 2 days. Automation can compress this to 2 to 3 days by auto-matching balances and generating elimination entries.
When one entity sells inventory to another entity in the same group at a markup, the selling entity records profit. But if the buying entity still holds that inventory at period end, the group has not realized that profit through a sale to an external customer. The unrealized profit must be eliminated on consolidation. It is reversed when the inventory is eventually sold externally.
Yes. Platforms like Bluecopa, BlackLine, and OneStream automate IC balance matching, flag mismatches in real time, and auto-generate elimination entries based on predefined rules. The biggest time saver is continuous matching throughout the period, so by close day, most IC balances already agree and the team can focus on exceptions rather than starting reconciliation from scratch.
